Terms and Conditions

1. Scope

These General Terms and Conditions (T&Cs) govern all deliveries, services and offers of AC-Profil AG (4950 Huttwil, Switzerland). Deviating customer terms apply only if confirmed by us in writing.

2. Offers, prices, tooling

Our offers are non-binding and — unless otherwise stated — valid for 30 days. Prices are quoted in CHF, excluding VAT, ex works Huttwil.

Tooling costs are invoiced separately. Unless expressly agreed otherwise, the tool remains our property even after full payment and is stored at our facility.

3. Orders and lot sizes

Orders become binding upon written order confirmation. We do not impose fixed minimum order quantities — we quote per project and disclose any set-up fees for pilot or small-batch runs transparently in the offer.

We reserve the right to minor quantity deviations (±10 %) on the produced profile length where this is technically unavoidable.

4. Tolerances and specifications

Unless otherwise agreed, our standard tolerances for plastic extrusion follow DIN 16941-3 / DIN 16952. Tighter tolerances are available on request and are noted in the order confirmation.

Colour and gloss deviations within normal production tolerances are not grounds for complaint. The binding colour reference is a sample or first-article batch released by the customer.

5. Delivery and shipping

Delivery is — unless otherwise agreed — EXW Huttwil (Incoterms 2020). Stated delivery dates are target dates; we make every reasonable effort to meet them but do not guarantee adherence unless a date has been expressly agreed as „fixed".

In cases of force majeure (raw-material shortages, strikes, official orders, power outages etc.) delivery deadlines are extended accordingly.

6. Payment terms

Invoices are due 30 days net unless agreed otherwise. In case of default, we reserve the right to charge default interest of 5 % p.a. and reasonable reminder fees.

Goods remain the property of AC-Profil AG until full payment (extended reservation of title).

7. Warranty and notice of defects

Obvious defects must be notified in writing within 14 days of receipt, hidden defects within 14 days of discovery. Failure to give timely notice deems the goods accepted.

For justified defect notices, we may at our choice rework or replace. Further claims — especially for damages, loss of profit or consequential loss — are excluded to the extent permitted by law.

8. Liability

Our liability is limited to direct damage caused by intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law.

Aggregate liability is capped at the order value.

9. Confidentiality and IP

We treat documents, drawings and CAD data provided by the customer confidentially and use them only to execute the order. The customer warrants that the use of the data they provide does not infringe third-party rights.

10. Final provisions

Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction for all disputes is Huttwil or the ordinary court of the Trachselwald district, Canton of Bern.

Should any provision of these T&Cs be invalid, the validity of the remaining provisions remains unaffected.
